We draft all kinds of documents required for legal entities: shareholders' agreements, resolutions, as well as minutes of shareholders' meetings, board regulations, etc. We also represent shareholders, collect the information they need, draft letters or claims. We change the legal forms of legal entities and prepare documents and register changes in the company - changes in the manager, registered office, board of directors, articles of association, etc. Arranging the transfer of shares, contributions, securities or other property.

Companies can be reorganised by merger by acquisition (prijungimas), where one or more legal entities are merged into another legal entity, which receives all the rights and obligations of the reorganised legal entity and only one of them continues its activities, or by merger by formation of a new company (sujungimas), where two or more legal entities combine into a new legal entity, which receives all the rights and obligations of the reorganised legal entities. Legal persons may be divided by division by acquisition (išdalijimas), whereby the rights and obligations of the legal person being reorganised are distributed among other existing legal persons, or by division by formation of new companies (padalijimas), whereby two or more new legal persons are established on the basis of the legal person being reorganised and take over its rights and obligations in defined proportions. We also assist in the separation of companies. This means that from a company that remains in existence and continues to operate after the separation, one or more new companies of the same legal form are created on the basis of the assets, rights and obligations assigned to the separated part.

We provide services for increasing or decreasing the authorised capital of companies, which are relevant for private limited liability companies (UAB). We prepare all the documents related to this service, register them, advise our clients whether the increase or decrease of the authorised capital requires the services of a notary and, if necessary, we represent the legal entity before the notary office.

We provide all the services needed for liquidation (closing down a company). We can act as liquidators of the company and deal with all issues up to the company's dissolution. We also coordinate the liquidation process, for example the work of the company's accountants or archivists.
