The sale of an immovable thing must be in notarial form (Article 6.393(1) of the Civil Code of the Republic of Lithuania (CK)), and so must transactions transferring real rights in an immovable thing (CK Article 1.74(1)(1)); transfers of immovable things made during bankruptcy proceedings are the exception. The notary must explain the meaning and consequences of the notarial act (Article 30 of the Law on the Notarial Profession of the Republic of Lithuania (NĮ)) and check the state register data that matter for it (NĮ Article 51). In court, a natural person may be represented under a mandate by, among others, an advocate or an advocate's assistant holding the written permission of the supervising advocate (Article 56(1) of the Code of Civil Procedure of the Republic of Lithuania (CPK)).

How to check a property for a mortgage, a seizure or other encumbrances is covered in our article Buying property in Lithuania: checking for mortgages, seizures and encumbrances. How to pay safely through the notary's deposit account is covered in Paying for property in Lithuania: notary deposit, advance and pledge. Here we cover what the notary does, when a lawyer is worth calling, and who may represent you in a dispute.

What the notary does in a property deal

Notarial form. A contract for the sale of an immovable thing must be in notarial form, except for such contracts concluded during bankruptcy proceedings (CK Article 6.393(1)). If the form requirement is not met, the contract is invalid (CK Article 6.393(2)).

Explanation. The notary must explain the meaning and consequences of the notarial act to the persons who want it performed (NĮ Article 30).

Register checks. When certifying a transaction, the notary must check the data in the central databanks of the state registers that are essential for the notarial act and for protecting the lawful interests of the persons involved (NĮ Article 51).

Data for the register. In the cases and under the procedure set by legislation, the notary submits data on certified transactions to the state registers (NĮ Article 51). As against third parties, a sale contract for an immovable thing may be relied on, and has legal effect for them, only if it has been registered in the public register (CK Article 6.393(3)).

The notary's duties concern the notarial act itself. Ownership of the immovable thing passes to the buyer on handover (CK Article 6.393(4)), and the seller and the buyer record the handover and acceptance by signing an acceptance and transfer certificate or another document named in the contract (CK Article 6.398(1)). Which terms you need, for example the deadline for handover, what happens if the other party does not pay, or what the seller confirms about the property, is agreed before you come to the notary.

When to call a real estate lawyer

Before you sign a preliminary agreement. A preliminary agreement must be in writing, and failure to meet the form requirement makes it invalid (CK Article 6.165(2)). The parties must state the deadline for concluding the main contract; if they do not, the main contract must be concluded within one year of concluding the preliminary agreement (CK Article 6.165(3)). A party that unjustifiably avoids or refuses to conclude the main contract must compensate the other party's losses (CK Article 6.165(4)). The Supreme Court of Lithuania has held that this liability arises only where the refusal to conclude the main contract was unjustified, and applies to the party at fault for the refusal, that is, the party acting in bad faith (ruling of 13 January 2016 in civil case No. 3K-3-73-687/2016). If the main contract is not concluded within the deadline, the obligation to conclude it ends (CK Article 6.165(5)). Where a natural person buys a house or flat not yet built from a legal person, the preliminary agreement must state additional terms, including the buyer's right to withdraw from it within ten days of its conclusion (CK Article 6.401(1) and (2)(1)). Earnest money cannot secure a preliminary agreement, or a contract that must be notarised by law (CK Article 6.98(2)).

Before you buy. The seller must confirm that third parties have no rights or claims to the things transferred, unless the buyer agreed in advance to accept things subject to such rights or claims and the seller properly informed the buyer of them (CK Article 6.321(1)). Whether that confirmation is accurate is worth checking against the registers before the notary appointment. If third-party rights or encumbrances were registered in the public register, the buyer cannot rely on the seller's breach of these duties (CK Article 6.321(5)). The seller must still remove a mortgage, whether or not it is registered, unless the buyer, having been properly informed by the seller, agrees to buy the property subject to it (CK Article 6.321(2)).

Before you lease commercial premises. When ownership of a leased thing passes from the lessor to another person, a lease that must be registered remains valid for the new owner if the rights arising from the lease were registered in the public register (CK Article 6.494(1)). Changing and ending a lease of premises is covered in Leasing premises in Lithuania: changing terms and ending the lease early.

When the other party avoids registering the transfer of ownership. If one party avoids registering the fact that ownership has passed, the court may, at the other party's request, decide that the contract be registered. A party that unjustifiably avoided registration must compensate the other party's resulting losses (CK Article 6.393(4)).

Who may represent you in a property dispute

Claims concerning real rights in an immovable thing, the use of an immovable thing and the lifting of a seizure of an immovable thing are heard by the court where the immovable thing, or its main part, is located. Claims for dividing spouses' property in divorce cases are an exception (CPK Article 31(1)).

A natural person may be represented in court under a mandate by, among others (CPK Article 56(1)):

advocates;

advocates' assistants holding the written permission of their supervising advocate to represent in the specific case;

persons with a university degree in law, when they represent their close relatives or spouse (cohabitant).

A legal person may be represented in court under a mandate by, among others, advocates, advocates' assistants with the written permission of their supervising advocate, and its own employees holding a university degree in law (CPK Article 56(2)).

An advocate's assistant may represent only in courts of first instance, and only after the Lithuanian Bar has approved the report on completing one year of practice (Article 34(2) of the Law on the Bar of the Republic of Lithuania (AdvĮ)).

The party who wins the case may recover from the other party the cost of the assistance of an advocate or an advocate's assistant. You must file a written request with the calculation and justification of the costs; if the request and the evidence of the amount are not filed before the end of the hearing on the merits, these costs are not awarded (CPK Article 98(1)). The court awards them taking into account the complexity of the case and the work and time of the advocate or advocate's assistant, but not above the amounts set in the recommendations on fees approved by the Minister of Justice together with the Chairman of the Lithuanian Bar Council (CPK Article 98(2)). The cost of legal services provided by persons other than advocates and advocates' assistants is not reimbursed under this procedure (CPK Article 88(3)).

How to start

Send us the draft preliminary or main agreement, the Real Property Register extract for the property and a short description of the deal: who sells, who buys, how and when payment is planned.
